Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or the "Customer") and akanoodles holdings limited, a company registered in England & Wales (number 16289830) ("akanoodles", "we", "our"). By accessing or using Drop you agree to these Terms.

1. The service

"Drop" means the Figma plugin Drop Design System, the ship-mcp Docker container, the website at drop.akanoodles.com, and any related APIs and edge functions we operate (together, the "Service").

The Service extracts design tokens from Figma, generates production code in multiple frameworks, runs visual validation, and integrates with version-control systems. Code generation runs locally on your own machine via the ship-mcp Docker container; design files do not leave your environment.

2. Your account

You are responsible for keeping your account credentials secure and for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorised use.

You must be at least 13 years old to use Drop. If you sign up on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

3. How Drop is sold

Drop is sold business-to-business only, in a two-stage engagement:

Stage What it is
Pilot A productised, fixed-scope 20-working-day Compliance Sandbox. Single payment of £15,000 (excl. VAT). Covers Docker container deployment, 5 named plugin seats, one brand and one component family validated end-to-end, and a hours-saved business case. Governed by a Statement of Work (SoW) you sign at kickoff.
Annual licence Per-brand, per-year licence (from £36,000 / brand / year, with multi-brand volume tiers as published on our engagement page). Billed annually in advance. Optional premium SLA, custom features, and air-gapped deployment are priced separately.

"Brand" means a distinct customer-facing identity within your portfolio (e.g. a parent group with multiple operating brands counts each as one). The pilot fee is credited against your year-1 annual licence if you sign within 60 days of pilot end.

"Design system" means a Figma file (identified by its file key) bound to your account. Drop is offered to organisations only — by signing the SoW you confirm you have authority to bind your organisation to these Terms.

4. Fees, billing, and tax

Fees are quoted in pounds sterling (£) and are exclusive of VAT. UK VAT (currently 20%) is added on invoices to UK customers. EU and other international B2B customers may apply reverse charge against a valid VAT number.

The pilot fee is invoiced on signature of the SoW and is payable within 14 days. Annual licence fees are invoiced on signature of the licence agreement and renewals are invoiced 30 days before each anniversary. Payment is by bank transfer (BACS / SEPA / SWIFT) against the invoice, or — at akanoodles' option — by card via Stripe.

Late payment may attract interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998 and may result in suspension of the Service until paid.

5. Refunds and cancellation

Drop is sold business-to-business; the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to these Terms.

The pilot fee is non-refundable once the engagement has begun, except in cases of material breach by akanoodles. Annual licence fees are non-refundable once the licence period has commenced; you may choose not to renew at the end of any period by giving 30 days' notice.

Specific refund, termination, and exit terms — including any pro-rata mechanics, escrow, or transition assistance — are set out in the SoW (for the pilot) or the licence agreement (for the annual licence). Where those documents conflict with this section, those documents prevail.

6. Acceptable use

You will not, and will not permit anyone else to:

Breach of this section may result in suspension or termination without refund, in addition to any other remedy available to us.

7. Intellectual property

Drop's IP. akanoodles owns all rights in the Drop plugin, the ship-mcp Docker image, the website, the documentation, and the trademarks "Drop" and "Drop Design System". You receive a non-exclusive, non-transferable licence to use Drop for the term of your pilot SoW or annual licence agreement, while fees are paid in full.

Your IP. You retain all rights in your designs, your tokens, and the code generated by Drop on your behalf. We claim no licence to your design files (which we never see) or to the output code Drop produces.

Feedback. If you send us feedback or suggestions, you grant akanoodles a perpetual, royalty-free, worldwide licence to use that feedback to improve Drop, without obligation to compensate or credit you.

8. Privacy and data protection

Our processing of personal data is governed by our Privacy Policy. All licensed customers processing personal data through Drop are also subject to our Data Processing Addendum, which forms part of these Terms by reference.

9. Service availability

We aim to make Drop available continuously. Annual licence customers are entitled to a standard SLA of 99.5% monthly uptime on the licence-check endpoint and 4-hour response on production-blocking issues during 8×5 support hours. Premium SLA terms (24×7, 1-hour response) are available as a paid add-on and defined in your licence agreement. Pilot engagements are best-effort during the 20-day SoW window.

10. Beta features

We may release features marked "Beta" or "Preview". These may change, be removed, or break compatibility without notice and are provided "as is" without any warranty. Use them at your own discretion.

11. Disclaimers

To the maximum extent permitted by law, Drop is provided "as is" and "as available". We disclaim all warranties not expressly granted in these Terms, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the code Drop generates is error-free, suitable for production use without review, or compliant with any specific accessibility, security, or regulatory standard. You are responsible for reviewing and testing generated code before deployment.

12. Limitation of liability

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded under applicable law (including under the UK Consumer Rights Act 2015 for consumer customers).

Subject to that, to the maximum extent permitted by law:

13. Indemnity

You will indemnify akanoodles against third-party claims arising from your breach of §6 (Acceptable use) or your misuse of Drop's outputs in a manner that infringes the rights of others.

14. Termination

You may terminate by giving 30 days' written notice ahead of the next renewal date of your annual licence (pilots run for the fixed SoW term). We may terminate or suspend your account if you materially breach these Terms (including §6) or fail to pay an invoice within 30 days of its due date. Upon termination, your access ends and the exit and data-handling steps in your SoW or licence agreement apply; personal data retention continues per our Privacy Policy.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance by email and via the plugin update flow. Continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that consumer customers may bring proceedings in the courts of their country of residence where local law so permits.
